Terms of Service

1. Acceptance of Terms
By accessing or using PayGate ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. PayGate reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email.
2. Description of Service
PayGate is a file paywall platform that enables freelancers and independent professionals ("Sellers") to upload files, set a price, and share a payment link with their clients ("Buyers"). Buyers pay via Stripe Checkout before gaining access to download the files. PayGate facilitates the transaction but does not take possession of funds — payments flow directly to the Seller's connected Stripe account.
3. User Accounts
To use PayGate as a Seller, you must create an account. By creating an account, you represent and warrant that:
- You are at least 18 years of age.
- All information you provide is accurate, complete, and current. You agree to update your information promptly if it changes.
- You will maintain only one account per person. Creating multiple accounts to circumvent limits or restrictions is prohibited.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
You must notify us immediately at support@getpaygate.com if you become aware of any unauthorized use of your account.
4. Stripe Connect and Payments
To receive payments through PayGate, Sellers must connect a Stripe Express account. By doing so, you also agree to Stripe's Connected Account Agreement.
The payment flow works as follows: a Buyer pays via Stripe Checkout, funds are transferred directly to the Seller's connected Stripe account, and PayGate collects an application fee (see Section 5). Standard Stripe processing fees apply separately and are the responsibility of the Seller. PayGate does not hold, escrow, or otherwise manage Buyer funds.
5. Plans and Pricing
PayGate offers the following plans:
- Free Plan: Up to 3 active deliverables, maximum price of $500 per deliverable, and a 5% platform fee on each transaction.
- Pro Plan ($19/month): Unlimited active deliverables, no price cap, and 0% platform fee.
Pro Plan subscription fees are billed monthly through Stripe and are non-refundable. PayGate reserves the right to change pricing with 30 days' prior notice to active subscribers.
6. File Uploads and Limits
Sellers may upload files of any type, subject to a maximum file size of 50 MB per file on the Free plan. Each deliverable allows up to 5 downloads by the Buyer after payment. Once the download limit is reached, the Buyer must contact the Seller to request additional access.
7. Automatic Payment Reminders
PayGate sends automatic payment reminder emails to Buyers who have not yet completed payment. Reminders are sent at day 3 and day 7 after the payment link is first shared. By using PayGate, Sellers authorize the sending of these reminders on their behalf. Buyers may contact the Seller directly to opt out of further reminders.
8. Acceptable Use
You agree not to use PayGate to:
- Upload, distribute, or sell illegal content, including but not limited to material that violates any applicable law or regulation.
- Distribute malware, viruses, or any other harmful or malicious software.
- Upload or sell copyrighted material that you do not own or do not have the right to distribute.
- Engage in harassment, abuse, threats, or intimidation of any person.
- Send spam or use the platform for unsolicited mass communications.
- Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
- Use the Service in any manner that could damage, disable, overburden, or impair PayGate's infrastructure.
Violation of this section may result in immediate suspension or termination of your account without notice.
9. Content Responsibility and Intellectual Property
PayGate does not claim any ownership rights over files uploaded by Sellers. Sellers retain all intellectual property rights to their content. By uploading files to PayGate, you grant PayGate a limited, non-exclusive license to store and deliver those files solely for the purpose of providing the Service.
Sellers are solely responsible for the content they upload, including ensuring they have the necessary rights and permissions to distribute such content. Sellers are also solely responsible for any disputes with Buyers regarding the quality, accuracy, or fitness of delivered files. PayGate is not a party to the transaction between Seller and Buyer and bears no responsibility for the content of deliverables.
10. Refunds and Disputes
PayGate does not process refunds directly. Because payments flow directly from Buyers to Sellers via Stripe, any payment disputes, chargebacks, or refund requests are handled through Stripe's standard dispute resolution process. Sellers are responsible for responding to disputes and any associated fees imposed by Stripe.
PayGate may, at its sole discretion, assist in mediating disputes but is under no obligation to do so.
11. Account Termination
PayGate reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that PayGate determines, in its sole discretion, violates these Terms or is harmful to other users, third parties, or the business interests of PayGate.
You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. Any files you have uploaded may be deleted. PayGate is not liable to you or any third party for any termination of your access to the Service.
12. Service Availability
The Service is provided on an "as-is" and "as-available" basis. PayGate makes no warranties, express or implied, regarding the reliability, availability, or fitness of the Service for any particular purpose. PayGate may modify, suspend, or discontinue any part of the Service at any time without prior notice or liability.
13. Limitation of Liability
To the maximum extent permitted by applicable law, PayGate and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.
In no event shall PayGate's total aggregate liability for all claims related to the Service exceed the total amount of fees you have paid to PayGate in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees to PayGate, PayGate's total liability shall not exceed fifty US dollars ($50).
14. Indemnification
You agree to indemnify, defend, and hold harmless PayGate and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
15. Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body.
16. Changes to These Terms
PayGate reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify registered users by email. Your continued use of the Service after any changes indicates your acceptance of the updated Terms.
